1. Acceptance of Terms
1.1 Agreement
By accessing or using the Skyies website, platform, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.
1.2 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Services. By using the Services, you represent and warrant that you meet these requirements.
1.3 Business Use
If you are using the Services on behalf of an organisation or entity, you represent and warrant that you have authority to bind that organisation to these Terms, and your agreement to these Terms will be treated as the organisation's agreement.
2. Description of Services
2.1 Scope
Skyies provides business formation, compliance, visa, legal, financial, and related professional services. The specific scope of services provided to you will be set forth in a separate service agreement, order form, or statement of work.
2.2 Changes to Services
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
2.3 Professional Advice
The information provided through our Services is for general informational purposes only and does not constitute legal, tax, financial, or other professional advice. Always consult qualified professionals for advice specific to your situation.
3. User Accounts
3.1 Account Creation
To access certain features of the Services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use of your account at security@skyies.com.
3.3 Account Termination
We reserve the right to suspend or terminate your account at any time if you violate these Terms, provide false information, or engage in conduct that we determine to be harmful to other users, third parties, or our business.
4. Payment Terms
4.1 Fees
Fees for our Services are set out in the applicable service agreement or as displayed on our website at the time of purchase. All fees are quoted in US dollars and are exclusive of applicable taxes unless stated otherwise.
4.2 Payment
You agree to pay all fees in accordance with the payment terms presented at the time of purchase. We use third-party payment processors and do not store your full payment card details on our servers.
4.3 Refunds
Refunds are provided in accordance with our Refund Policy, which is incorporated into these Terms by reference. Generally, fees for services already rendered are non-refundable except where required by law.
4.4 Late Payments
If any fee is not paid when due, we reserve the right to suspend or terminate your access to the Services and to charge interest on overdue amounts at the rate of 1.5% per month (or the maximum rate permitted by law, if lower).
5. Intellectual Property
5.1 Our IP
The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof, are owned by Skyies and are protected by copyright, trademark, and other intellectual property laws.
5.2 Licence to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable licence to use the Services for your personal or internal business purposes.
5.3 Restrictions
You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any content from our Services except as permitted by these Terms.
6. Prohibited Conduct
6.1 Prohibited Activities
You agree not to: (a) use the Services for any unlawful purpose or in violation of any applicable laws; (b) attempt to gain unauthorised access to any part of the Services; (c) use automated tools to scrape or extract data from the Services; (d) transmit any viruses, malware, or other harmful code; (e) harass, abuse, or harm any person; (f) impersonate any person or entity; or (g) engage in any conduct that interferes with or disrupts the Services.
7. Disclaimers and Limitation of Liability
7.1 Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKYIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.
7.3 Aggregate Cap
IN NO EVENT SHALL SKYIES'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO SKYIES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.
8. Indemnification
8.1 Your Obligation
You agree to indemnify, defend, and hold harmless Skyies and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services.
9. Governing Law and Disputes
9.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
9.2 Dispute Resolution
Any dispute arising from or relating to these Terms or the Services shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration under the rules of the American Arbitration Association.
9.3 Class Action Waiver
You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
10. General Provisions
10.1 Entire Agreement
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Skyies regarding the Services and supersede all prior agreements and understandings.
10.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
10.3 Waiver
Our failure to enforce any provision of these Terms will not be deemed a waiver of our right to enforce it in the future.
